This Non-Disclosure Agreement ("Agreement") is entered into between Moose Pack Inc (a C-corporation, EIN 39-4308605), which through its wholly-owned subsidiary Moose Pack Ventures LLC holds the intellectual property for the Tactical Talkโข product (together, the "Company"), and the undersigned recipient ("Recipient").
"Confidential Information" means all non-public information disclosed through this portal, including financials, metrics, product roadmap, technology, corporate structure, cap table, strategy, and any materials marked or reasonably understood to be confidential.
Recipient shall (a) hold all Confidential Information in strict confidence, (b) use it solely to evaluate a potential investment, and (c) not disclose it to any third party without the Company's prior written consent.
Nothing herein grants any license to the Company's intellectual property. Nothing in this portal constitutes an offer to sell securities; any investment is subject to definitive documentation.
These obligations survive for three (3) years from the date of access.
This Agreement is governed by the laws of the State of Arizona.

OpenTactical Talk is the first real-time AI conversation coach shipped to the App Store. It listens through your phone and delivers tactical guidance through your earbuds in under three seconds โ live, during the conversation, not after it.
The wedge: proprietary Detection Shields that flag gaslighting, manipulation, narcissistic patterns and deception in real time โ a capability no consumer competitor ships. Everyone else reviews the call afterward; we coach inside it.
Why now: streaming speech-to-text, fast LLMs and low-latency TTS only recently crossed the sub-3-second round-trip that makes live in-ear coaching viable. The enabling technology arrived; we shipped first.

OpenRevenue is live via Stripe (web) and Apple In-App Purchase (iOS): Pro $29.99/mo, Elite $59.99/mo, plus discounted annual plans and pay-per-session passes. Launch pricing locks a subscriber's rate for life while active.
Structure is deliberately lean. An AI-workforce operating model runs engineering, design, ops and content โ keeping headcount cost near zero. Variable cost is per-use AI inference (STT/LLM/TTS) plus commodity infra (Render, Supabase, Vercel), which scales with usage rather than ahead of it.

OpenInstrument: a post-money SAFE (YC standard) into Moose Pack Inc โ the existing C-corporation (EIN 39-4308605). Money in today, converts to equity at the next priced round.
* The minimum buy-in for Tactical Talk is set at $10,000. This may be modified for special individuals โ by written approval of Michael Moosbrugger only. No other party may waive or alter the minimum.
At the fixed $4M valuation cap (and a 10,000,000-share structure), every dollar buys the same fixed slice โ 0.000025% per $1, or 2.5 shares per $1:

The entity you'd invest into.
OpenParent / raising entity: Moose Pack Inc โ a non-exempt C-corporation, EIN 39-4308605.
IP holding company: Moose Pack Ventures LLC, a wholly-owned subsidiary of Moose Pack Inc. MPV is the R&D and IP vault โ it holds the patents, trademarks and technology, and licenses them to the operating products. Tactical Talk operates under that license. (This is the same holdco/opco structure used across the Moose Pack portfolio, e.g. VRDX.)
An investor takes a SAFE into Moose Pack Inc โ the parent that owns the vault โ so the investment sits above the IP, not beside it. No restructuring required to invest today.
When a lead investor or priced round requires it, a dedicated Tactical Talk, Inc. (Delaware C-corp) is formed, and the Tactical-Talk-specific IP is assigned in or exclusively/perpetually licensed to it at that point (counsel-led) โ which also starts the QSBS clock. Not before.
